This Electronic Record and Signature Disclosure (“Disclosure”) explains how electronic records and electronic signatures are used on the Docstrail platform and outlines your rights and responsibilities when signing documents electronically using Docstrail.
By proceeding to sign documents electronically through Docstrail, you acknowledge that you have read, understood, and agree to this Disclosure.
1. Consent to Use Electronic Records and Signatures
By using Docstrail to sign documents, you voluntarily consent to:
- Conduct transactions electronically
- Receive, review, and sign documents in electronic form
- Use electronic records and electronic signatures in place of paper documents and handwritten signatures
Your electronic signature has the same legal effect as a handwritten signature to the fullest extent permitted by applicable law.
2. Scope of Consent
Your consent applies to all documents, notices, disclosures, agreements, and records (collectively, “Electronic Records”) provided or executed through the Docstrail platform, including but not limited to contracts, agreements, authorizations, and acknowledgements.
3. Legal Effect and Use of Electronic Signatures
Docstrail supports electronic signing workflows intended to facilitate the electronic execution of documents through user consent and intent-based actions. By signing electronically, you agree that your electronic signature indicates your intent to sign and be bound by the document, subject to applicable laws.
Docstrail does not represent or guarantee that electronic signatures executed through the platform will be legally enforceable in all jurisdictions or for all types of documents. Laws governing electronic signatures vary by country, state, and transaction type. You are responsible for determining whether electronic signatures are appropriate and legally valid for your specific use case.
4. System Requirements
To access and sign electronic records using Docstrail, you must have:
- A device with internet access (computer, tablet, or smartphone)
- A supported web browser or Docstrail application
- The ability to view PDF or web-based documents
- An active email address or verified identity method used for signing
You are responsible for ensuring your system meets these requirements.
5. How Electronic Signatures Work
When you sign a document using Docstrail:
- You are provided access to the document through a secure signing link
- The sender of the document may optionally enable email-based one-time password (OTP) verification as an additional access control
- If OTP verification is enabled by the sender, you must enter the correct OTP sent to your registered email address to proceed
- Your signature is applied through an affirmative electronic action (such as clicking a sign button, typing your name, or drawing your signature), indicating your intent to sign
- Basic signing activity records are generated, including timestamps and document actions, to support platform functionality
Docstrail facilitates intent-based electronic signing. Docstrail does not independently verify the real-world identity of signers and does not provide identity authentication, KYC, or government-issued ID verification services. Any modification to a document after signing will invalidate the electronic signature.
6. Copies of Electronic Records
After signing, you may:
- Download a copy of the signed document
- Receive a copy via email
- Access signed documents through your Docstrail account (subject to retention policies)
You are encouraged to retain copies of signed records for your own reference.
7. Withdrawing Consent
You may withdraw your consent to use electronic records and signatures at any time by:
- Declining to sign a document electronically
- Contacting Docstrail support before completing the signing process
Withdrawing consent may delay or prevent completion of transactions that require electronic signatures.
8. Paper Copies
You may request a paper copy of any document before signing, where permitted by the sending party. Docstrail does not automatically provide paper copies unless required by law or agreed upon separately.
9. Accuracy of Information
You are responsible for ensuring that the information you provide during the signing process is accurate and complete. Docstrail is not responsible for errors resulting from incorrect information provided by you.
10. Declining to Sign
You are not required to sign documents electronically. If you do not wish to proceed, you may decline or exit the signing process. Declining to sign may affect the underlying transaction.
